Services contract
This contract describes the terms and conditions to which the parties will be subject for the contract review and drafting services and the corresponding commercial transaction.
This contract only applies to drafting and reviewing agreements and contracts to be executed in the United Mexican States pursuant to applicable laws in Mexico, drafted in Spanish (hereinafter referred to as national contracts).
Galvan Law recommends that the user carefully read the following provisions to be fully aware of its rights and obligations.
Recitals

Articles
FIRST. Galvan Law undertakes to keep public the terms and conditions for the contracting of services offered through the site https://www.galvanlaw.mx, hereinafter referred to simply as the site.
SECOND. Galvan Law makes the following means of contact available to the user: Social Networks; Physical address and telephone; and electronic media.
THIRD. The site is available 24 hours a day, 365 days a year. However, the service hours are from 09:00 a.m. to 5:00 p.m., Mexico City time (Central Time - UTC -6), every day, Monday through Thursday and from 09:00 a.m. to 01:00 p.m. on Fridays, days considered business days pursuant to the Federal Labor Law of the United Mexican States. Service requests made after closing hours will be deemed received at 9:00 a.m. of the following business day.
FOURTH. It is an essential requirement that the user be of legal age, empowered and have the legal capacity to contract the services offered on the site. Apart from this requirement, Galvan Law will actively avoid, at all times, exercising acts of discrimination against users.
FIFTH. Access to the site may be interrupted, from time to time, due to failures in telecommunications systems, maintenance windows or crashes in Internet servers. Galvan Law undertakes to restore the service as soon as possible in order to provide constant access. The user can report such a situation through the means of contact at his disposal.
SEXTA. Galvan Law uses the PayPal payment platform and is subject to its strict security and conflict resolution systems. In order to contract the services of the site, the user must agree to be subject to PayPal's terms and conditions.
SEVENTH. The different procedures for contracting the services offered by Galvan Law are described below. It is the user's responsibility to provide accurate, precise and truthful information, as well as to update it when appropriate.
A) Drafting
A.1) The user must download and complete the initial request form that Galvan Law makes available through this link.
A.2) Once the initial request form has been filled in, the user must send it to Galvan Law through the means of communication available on the site, namely: by e-mail to contact@galvanlaw.mx, through WhatsApp or our online form.
Submission of the form will be considered the request for service.
A.3) Upon receipt of the request for service, Galvan Law, within 24 hours, counted from the time of receipt, will reply to the user, through the e-mail provided, with a quote for the drafting of the agreement or contract and a PayPal payment order. Such amount is an advance payment in case the user decides to hold a 20 minute video call, through Google Meet, with a lawyer appointed by Galvan Law, to provide further explanations, more information or ask questions regarding the agreement or contract that is being acquired or its price. Through that same e-mail the user will be given options to schedule the video call.
A.4) The user must send (by return e-mail) their consent regarding their quote; and proof of the advance payment to hold the virtual call and chosen schedule; or expressly decline the video call, in which case, the advance payment is unnecessary.
A.5) Within 24 hours from the receipt of the notice from the user declining or from the end time of the video call, Galvan Law will send (in return e-mail address) a PayPal payment order for the remainder of the price of the requested agreement or contract.
A.6) The user must send (also, by return mail) proof of payment for the received order.
A.7) Upon receipt of proof of payment, usually within two business days, or within the time period indicated in the quote, Galvan Law will send the user the first draft of the agreement or contract in an electronic document in *.rtf format (Rich Text Format) for the user to make observations, comments or questions and to record it, following the instructions indicated to distinguish them from the original text.
A.8) The user must send the edited document, by return e-mail, or if the case may be, their conformity with the document as received.
A.9) Within 24 hours of reception of the user's comments, Galvan Law will send the final draft in two formats: *.rtf (Rich Text Format); and *.pdf (Portable Document Format). This final document and its delivery by e-mail constitutes the conclusion of the contracted service.
B) Review
B.1) The user must send the document to be reviewed together with all relevant annexes, to Galvan Law through the means of communication available on the site, namely: by e-mail to contact@galvanlaw.mx, through WhatsApp or our online form. Submission of the form will be considered the request for service.
B.2) The document for review must be submitted in one of the following formats: Microsoft Word Document (*.doc); Open Document Format (*.odt); Rich Text Format (*.rtf); or Plain Text Format (*.txt). If the user does not have the document in any of the aforementioned formats, he must notify Galvan Law informing what type of file he has in order to receive pertinent instructions. The period described in section B.4) below will begin to run until there is an agreement between the parties regarding how to proceed regarding the format of the file to be reviewed.
B.3) Regardless of the format in which the document for review is received, the delivery of the final version will be made pursuant to subsection B.8) below. If the file under review contains graphics or other elements other than text (and its formatting), they could be lost and will definitely not be incorporated in the final draft. This will be made known to the user by return e-mail. The period described in subsection B.4) below will begin to run until there is an agreement between the parties regarding how to proceed regarding elements other than the text (and its format).
B.4) Upon reception of the document for review, Galvan Law, within 24 hours, counted from the time of receipt, will reply to the user, through the e-mail provided, with a quote and a PayPal payment order. Such amount is an advance payment in case the user decides to hold a 20 minute video call, through Google Meet, with a lawyer appointed by Galvan Law, to provide further explanations, more information or ask questions regarding the review of the agreement or contract or its price. Through that same e-mail the user will be given options to schedule the video call.
B.5) The user must send (by return e-mail) their consent regarding their quote; and proof of the advance payment to hold the virtual call and chosen schedule; or expressly decline the video call, in which case, the advance payment is unnecessary.
B.6) Within 24 hours from the receipt of the notice from the user declining or from the end time of the video call, Galvan Law will send (in return e-mail address) a PayPal payment order for the remainder of the price of the requested agreement or contract.
B.7) The user must send (also, by return mail) proof of payment for the received order.
B.8) Upon receipt of proof of payment, usually within two business days, or within the time period indicated in the quote, Galvan Law will send the user the review of the agreement, contract or legal document in two formats: *.rtf (Rich Text Format); and *.pdf (Portable Document Format). This final document and its delivery by e-mail constitutes the conclusion of the contracted service.
If any, Galvan Law will compensate delays through discounts on the final price.
Pursuant to clause eight, hereinafter, both in drafting and reviewing of agreements and contracts, Galvan Law will do everything possible to use the minimum number of characters, without undermining the integrity and validity of the intended documented legal circumstances.
EIGHTH. Galvan Law uses the number of characters contained in an agreement, contract or legal document as a factor to estimate the price of drafting or reviewing. In both cases, the total price of the delivery will be calculated based on the number of characters resulting from the final version of the document. It is important to note that the number of characters of the attachments (if any) that make up the contract will count for price purposes.
Galvan Law will provide the user with the total cost of the commercial transaction; information about payment and billing methods; and additional charges, if any.
NINTH. Information provided by the user, pursuant to the Federal Law on Protection of Personal Data Held by Private Parties, will be considered personal data and its treatment will be restricted to what is stated in the Privacy statement.
Pursuant to article 76 Bis, section I, of the Federal Consumer Protection Law, Galvan Law undertakes to use the information provided by the user in a confidential manner, not sharing it with third parties unrelated to the transaction, except at the express consent of the user or at the request of a competent authority.
TENTH. The parties undertake to maintain absolute confidentiality regarding all the information and data provided to each other regarding this transaction, (hereinafter confidential information). Likewise, they agree to return, once it has been used, all the documentation, reports, lists, databases and other information that had been provided by the parties to carry out the obligations derived from this contract. The foregoing, provided that the confidential information does not include information that: (i) on the date of execution of this contract is in the possession of any of them, having received it without the character of confidential; (ii) on the date it was made known to any of the parties, is in the public domain; (iii) after it has been made known, is published or in any way becomes part of the public domain, without responsibility by any of the parties or by means unrelated to them (but only after said information has been published or has become part of the public domain); or, (iv) there has been legal access to it through a third party without there being confidentiality restrictions towards the owner of the information.
The parties agree to disclose, if required by a government or judicial resolution issued by a competent authority, the confidential information, letting the other party know of such event no later than the business day following the requirement, in order to be in a position to best defend the privacy of the information, including obtaining an adequate protection order, precautionary measure or other appropriate resource to prevent its disclosure.
The parties agree that all required documentation will be provided no later than the business day following the request, in order to fully comply.
The parties agree to all the provisions of this clause and that if information has been delivered to a valid authority, this will not constitute a violation.
ELEVENTH. The user must provide his fiscal information so that Galvan Law issues the corresponding invoice. If omitted, Galvan Law will recognize the electronic proof of payment issued by the PayPal platform. The user may request his invoice within thirty days following his payment. If not, pursuant to Rule 2.7.1.23 of current tax regulations, Galvan Law will issue a generic invoice.
TWELFTH. The user will be able to rate the quality of the product and the service received on Galvan Law's social networks.
THIRTEENTH. For the purposes of the services provided under this contract, Galvan Law will establish communication with the user, in writing, through the means of contact provided. The user may establish communication with Galvan Law through the means listed in the SECOND clause above.
FOURTEENTH.Galvan Law guarantees that the agreement or contract drafted for the user, under the conditions established in the SEVENTH clause above, subparagraph "A" (and its subparagraphs) establishes the minimum conditions to make it enforceable.
Regarding the review processes of agreements and contracts, established in the SEVENTH clause above, subparagraph "B" (and its subparagraphs), Galvan Law guarantees to have informed the user of the legal risks involved in its execution and to have suggested the pertinent amendments.
FIFTEENTH. Galvan Law delivers the requested agreements or contracts, by means of a unique document in two formats: *.rtf (Rich Text Format); and *.pdf (Portable Document Format).
Galvan Law recognizes the user's right to fully appropriate the product they acquire, to modify it and use it in the way he chooses. Therefore the copy delivered in *.rtf format, is easy to edit (any text editor works for this purpose). However, if the user modifies the product with no further review or validation from Galvan Law, he will lose the guarantee of validity and legal force of execution established in the preceding clause.
The file in *.pdf format, which the user receives, an exact copy of its counterpart in *.rtf format, as it is the same document embodied in electronic media with different codes, will be encrypted with a unique password, chosen at random and discarded. These characteristics make it unalterable.
Galvan Law will keep in its files - offline - a copy of the *.pdf format for the time that is greater between the duration of the term of the agreement or contract or a calendar year. This is the document covered by Galvan Law’s guarantee.
SIXTEENTH. Any clarification or claim must begin with an e-mail sent to complaints@galvanlaw.mx explaining the doubts that give rise to the clarification or the reasons for the claim; within three business days, Galvan Law will answer by e-mail, making the clarification or resolving the matter of the claim. If the consumer is not satisfied with the results of the clarification or resolution, Galvan Law agrees to submit to the procedures upon Concilianet before PROFECO.
SEVENTEENTH. The modifications to this contract will be effective immediately after their publication on the site, but Galvan Law will respect the terms and conditions of the requests that have been made prior to any published amendments.
EIGHTEENTH. The parties agree to have all notifications regarding this contract to be carried out by e-mail.
NINETEENTH. The parties agree to submit to the jurisdiction and authority of the courts of the City of Pachuca de Soto, Hidalgo, in the United Mexican States, expressly waiving any other jurisdiction.
